| Specific Responsibilities: | The Corporate Legal Group at Gilead is seeking an experienced paralegal to: (i) work with our in-house attorneys to help manage Gilead’s Contracts Group, which is charged with the review, negotiation and management of routine third party contracts that the Company enters into in the ordinary course of business; (ii) review and negotiate day-to-day Company agreements; (iii) maintain a tracking system for contracts and regularly communicate status of contracts to the attorneys within the group; (iv) assist in the development of standard form agreements and implementation of processes and procedures for review and approval of day-to-day business agreements; (v) develop a company intranet resource with respect to contracts and contracting procedures; and (vi) train internal clients on contract forms and procedures. This individual will help manage incoming operational agreements that are received from the legal group from various departments within the Company. Such contracts will include confidentiality, consulting, IT, facilities, manufacturing, commercial and marketing, research and development and general services agreements. With attorney supervision, if necessary, the individual will work with other paralegals in the group to act as a service center to facilitate the timely review and completion of agreements. The expectation will be for this individual and the group to handle all routine issues and consult with attorneys in the group when complex legal questions arise that require attorney input. In addition to assisting in the management of the Contracts Group, this individual will be expected to review and negotiate agreements as well given the high volume of contracts that are received daily. In addition to the functions described above, this individual will assist with revamping the Company’s contracts database and determining the most efficient and effective means to track and store the Company’s agreements and to allow access to such agreements throughout the Company. |
| Essential Duties and Job Functions: | This position is responsible for assisting the in-house Contracts / Commercial Operations counsel in negotiating, drafting and executing contracts. Responsibilities include interfacing with outside vendors & customers in connection with domestic contracts matters. The person in this position will work in an integrated team environment within the Paralegal group. |
| Knowledge, Experience and Skills: | *A baccalaureate degree is preferred with a minimum 3 years of relevant experience required. This experience should include leading the contracts function in a high-tech or bio-pharma company. *Experience with or knowledge of Pharma contract issues that overlap with FDA/pharmaceutical regulation is desirable, but not required. *The ideal candidate will be flexible and willing to learn new procedures and skill sets. *Must have excellent organizational skills and the ability to perform in a fast-paced, deadline -driven environment. *Demands the ability to work using well - defined procedures, independently taking ownership for work product. *Must have good attention to detail and competency in Microsoft Word (with emphasis to document formatting commands, and use of styles) and Microsoft Outlook. |
