Full Time; DAYS 8:00 am - 5:00 pm; Monday - Friday REMOTE

Expected starting wage range is $176,569.38 - $218,115.04. Telecare applies geographic differentials to its pay ranges. The pay range assigned to this role will be based on the geographic location from which the role is performed. Starting pay is commensurate with relevant experience above the minimum requirements.

THE IDEAL CANDIDATE

The ideal candidate for the Corporate Counsel is someone that is a strong complement to the Telecare culture and exhibits behaviors that demonstrate alignment with Telecare's values. The ideal candidate is someone who has a strong understanding of Telecare's value of delivering operational excellence. We define operational excellence in 4 key areas:

Demonstrating consistency in care by ensuring staff are well trained, prepared for their work, able to deliver excellent care and respond to the needs of our clients that reduces the number of adverse events within the programs.

- Customer Satisfaction. Our customers are important. The VP of Program Operations needs to be able to regularly interact with customers and ensure awareness of Telecare's commitment to both delivering high quality care and fiscal responsibility.

- Financial Security. Knowing how to successfully operate within a budget and drive fiscal responsibility through the organization is vitally important to the organization's success.

The ideal leader for Telecare is someone that has a high level of self-awareness, seeks, and integrates feedback from others and is able to reflect on matters that impact those around them. The ideal candidate will bring strong business law acumen to this role and the ability to hold themselves and others accountable for their work product. Ultimately, the ideal candidate will be someone who is passionate and committed to the vision and purpose of Telecare and is able to lead the organization, guided by our values to drive both clinical and financial results.

POSITION SUMMARY

This position will report directly to the Senior Vice President (SVP) -Chief Financial Officer. As a key legal advisor, the Corporate Counsel will provide day-to-day advice and counsel on a wide variety of business-related matters. This role will partner with stakeholders across the enterprise, as well as leadership at all levels, to drive business initiatives and strategies with the goal of minimizing legal risk, achieving economies of scale, and ensuring compliance with applicable regulatory and statutory requirements. The Corporate Counsel is also expected to have a broad knowledge of all aspects of the legal field, including litigations, corporate law, professional liability, and labor law, in order to advise on a variety of subjects (e.g., complex commercial litigation, contracts, benefit plans, review of contracts and leases, oversight of outside legal work, negotiation of billing and rate agreements with outside firms, general corporate legal matters such as FBN filings, subsidiary filings, etc., and oversight of ESOP and ERISA legal issues.), as well as the flexibility and willingness to cultivate a diverse legal practice.

QUALIFICATIONS

Required:

* J.D./LL.B degree from an accredited law school, with strong academic credentials

* California Bar Admission in good standing

* Practicing attorney with eight to ten (8-10) years of experience at a law firm and/or in-house, including advising clients, conducting trainings, and managing/supervising outside counsel and in-house projects

* Proficiency with federal, state, and other laws and legal rights that would impact business operations.

* Ability to evaluate legal risks and offer practical business solutions.

* Flexibility and willingness to work on a broad variety of legal matters, including complex commercial litigation, contracts, and debt/equity matters.

* Experience establishing centralized governance policies and procedures from decentralized department practices.

* An action-oriented individual who can proactively partner with senior leadership in a fast-paced, demanding work environment.

* Strong alignment with Telecare's mission and core values

* Previous experience working with and presenting to C-level and/or Board of Directors

* All opportunities at Telecare are contingent upon successful completion and receipt of acceptable results of the applicable post-offer physical examination, 2-step PPD test for tuberculosis, acceptable criminal background clearances, excluded party sanctions, and degree or license verification. If the position requires driving, a valid driver's license, a motor vehicle clearance and proof of auto insurance is required at time of employment and must be maintained throughout employment. Additional regulatory, contractual or local requirements may apply.

Preferred:

* General understanding of health care operations and reimbursement structure

ESSENTIAL FUNCTIONS

* Demonstrates the Telecare mission, purpose, values, and beliefs in everyday language and contact with the internal and external stakeholders.

* Performs as trusted business advisor and legal counsel and advises executive members and Board of Directors on new laws, existing laws and legal rights that would impact functionality of the business.

o Collaborates and engages subject matter experts and/or leverages existing outside counsel for guidance, advice, and support as needed.

* Oversees the legal matters of the business as a whole, including acting as the business' legal representative.

* Establish and sustain best practices regarding corporate governance for a family and ESOP-owned company.

* Maintain knowledge of the company's legal documents and operations

o Drafts and revises corporate governance policies with input from key stake holders.

o Maintains record of all legal documents and proceedings for the company

o Assists in the review process with both customer and vendor agreements and third-party documents.

* Analyzes litigation history for trends and recommends strategies to achieve improved compliance, cost-savings, and economies of scale.

* Manages assigned functions within budget parameters, promoting cost-effective use of personnel, supplies, and other resources.

o Engages and coordinates outside expertise in the most cost-effective manner.

* Performs audit of corporate policies/practices to ensure compliance with applicable state and federal law.

* Builds and maintains strong relationships with senior leadership to accomplish shared business objectives.

* Stays abreast of significant legislative and regulatory changes impacting Telecare's business operations.

* Satisfies all continuing legal education requirements.

* Promotes Telecare's mission and business interests by actively participating in relevant professional organizations.

PHYSICAL DEMANDS

The physical demands here are representative of those that must be met by an employee to successfully perform the essential functions of this job.

The employee is occasionally required to walk, stand, bend, squat, kneel, twist, reach and lift and carry items weighing 10 pounds or less as well as to frequently sit. The position requires manual deviation, repetition and dexterity and to occasionally drive and to constantly converse on the telephone.
