Regional Transactional Counsel Summary:

This Regional Transactional Counsel will proactively support the McGuff Region's residential real estate transactional activities. The Region's attorneys handle complex transactions in-house, partnering with Division associates on all facets of a transaction from the letter of intent stage through the closing. The Regional Transactional Counsel is responsible for handling all aspects of the transactional legal function for the Region, including drafting contracts and other transactional documents. This position will play a critical role in supporting strategy execution and alignment of activities requiring legal support or advice across various Divisions. The Regional Transactional Counsel is directly involved in complex business transactions, negotiating and drafting critical contracts.

This position can be based in the Portland division office (Vancouver, WA) or Seattle division office (Federal, WA).



Responsibilities

  • Serves as key lawyer/legal advisor on all business transactions, including but not limited to drafting and negotiating purchase and sale agreements, easements, property transfer, financing and all other transactional documents.
  • Review due diligence materials and
  • Review and negotiate agreements; prepare and review contract and closing documents; review community master disclosure agreements.
  • Coordinate all aspects of the transaction and closing process, including monitoring contingencies, reviewing and preparing title objections, conducting title and survey and environmental reviews, clearing title and survey matters, and prepare closing documents.
  • Perform all other duties as assigned.


Qualifications

  • Juris Doctor Degree from an accredited law school, excellent academic credentials and current member of the Washington, Oregon or California
  • Minimum of 10 years of related experience in a major law firm or in-house experience for corporation with an emphasis on drafting sophisticated real estate documents
  • Knowledge of Washington, Oregon and California law
  • Excellent oral and written communication skills with an emphasis on contract and drafting abilities

Physical Requirements:

Must be able to operate a motor vehicle. Must be able to bend, stoop, reach, lift, walk, move and/or carry equipment in excess of 20 pounds. Must have finger dexterity to operate computer keyboard and calculator. Ability to travel frequently and over long distances, whether on aircraft or by other means. The *median base compensation for this position is estimated to be $308,256/annual, subject to adjustment based on business-related factors including employee qualifications, geographic location, and operational considerations.
