The Legal Counsel, Commercial will assume dual responsibility for commercial contracting and commercial litigation matters. As an integral member of the commercial contracting team for Levi Strauss Americas, your role will negotiate a variety of domestic and international commercial agreements, including technology, marketing, software licenses, master services, and recruiting contracts. Serving as a strategic advisor, the Legal Counsel will provide daily legal and business counseling, identify opportunities for process improvements and guidance on resolving legal issues within existing commercial relationships. You will also manage commercial litigation matters. In this role, the attorney will collaborate with external legal counsel to assess liability, develop defense strategies, assemble factual cases, identify witnesses, and provide recommendations regarding trial or settlement options. The estimated allocation of time for this role is anticipated to be 75-80% on transactions and 20-25% on litigation.

This is a hybrid role based at our San Francisco headquarters with remote work flexibility. Reporting to the Chief Counsel, Global Intellectual Property & Americas, you will support the U.S. and Canada business while occasionally contributing to global initiatives. In between drafting contracts and navigating litigation, you will find moments of fun and camaraderie. About the Job

  • Manage daily commercial transactions and commercial litigation for the business

  • Review, interpret, draft, revise, and negotiate commercial and technology contracts, including master services agreements, software agreements, reseller agreements, consulting and services agreements, data processing agreements and statements of work; support other types of commercial contracts from time to time, including wholesale, licensing, franchising, and sales agreements

  • Contribute to the development of standard templates and clause libraries to address a variety of situations

  • Develop and manage our contract management platform

  • Collaborate with and advise stakeholders across all organizational levels, including Global Procurement, E-Commerce, Retail, Data Security, Data Science/AI, IT and Finance

  • Supervise commercial litigation and other disputes, liaising with external counsel and internal stakeholders for analysis and resolution

  • Assume responsibility for special projects while managing a flow of daily legal matters

  • Develop and deliver training initiatives along with other members of the Legal team

  • Help develop governance protocols and procedures

  • Escalate matters as warranted and ensure compliance with company policies and risk tolerance thresholds

About You

  • JD and membership in CA bar

  • 5+ years commercial transactions and commercial litigation experience with a blend of law firm and in-house experience

  • Draft and negotiation skills across diverse commercial matters

  • Experience overseeing external legal counsel

  • APTTUS and IRONCLAD contract management platforms

  • SaaS or e-commerce related agreements

The expected starting salary range for this role is $116,300- $175,900. We may ultimately pay more or less than the posted range based on the location of the role. The amount a particular employee will earn within the salary range will be based on several factors including, but not limited to, relevant education, qualifications, experience, skills, performance and business needs.
